1. Engineering Sprint Protocols & Engagement Model
PS Orbit Studio provides bespoke AI automation, systems engineering, and workflow integration through fixed-fee deployment sprints (typically 7 to 14 business days). Each sprint is governed by a mutually executed Statement of Work (SOW) defining explicit acceptance criteria, API endpoints, and delivery milestones.
2. 100% Intellectual Property Assignment
Upon settlement of final milestone invoices, all custom software, application code, prompt templates, schemas, and automation scripts created specifically for the client become the exclusive intellectual property of the client. PS Orbit Studio retains no proprietary backdoors, recurring software lock-ins, or post-project ownership claims on custom deliverables.
3. Third-Party API & Infrastructure Costs
Clients maintain direct account ownership and billing responsibility for third-party cloud infrastructure (e.g., AWS, GCP, Cloudflare) and AI foundation model API tokens (e.g., OpenAI, Anthropic). PS Orbit Studio does not mark up API consumption costs, nor do we act as an intermediary billing reseller for foundational model tokens.
4. 30-Day Post-Deployment Warranty & SLA
Every production sprint includes a complimentary 30-day post-launch warranty period. During this window, PS Orbit Studio resolves any unexpected runtime bugs, API contract regressions, or edge-case pipeline crashes falling within the agreed SOW scope at zero additional cost.
5. Client Responsibilities & Data Access
Timely completion of sprint milestones requires client cooperation regarding API credentials, test datasets, and staging access. Delays caused by third-party vendor downtime or withheld client approvals will adjust milestone schedules proportionately.
6. Limitation of Liability
In no event shall PS Orbit Studio be liable for indirect, punitive, or consequential damages resulting from upstream provider outages (e.g., OpenAI API outages or cloud host downtime). Total cumulative liability is strictly capped at the fees paid under the applicable Statement of Work.
